Terms of Service - Verveine

1. Acceptance of Terms

By accessing and using Verveine's lead generation services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

Verveine provides lead generation services through multiple advertising channels including social media, search engines, and display networks. Our services include:

Identification of potential customers through AI-powered algorithms
Social network integration and automated engagement
Targeted advertising campaign management
Lead qualification and verification processes
Delivery of qualified lead information to clients

3. Pricing and Payment Terms

Our pricing structure is based on a pay-per-qualified-lead model:

Social Media Channel: $40 per qualified lead
Search Engine Channel: $50 per qualified lead
Display Network Channel: $60 per qualified lead

Payment is due within 30 days of invoice date. We reserve the right to suspend services for accounts with overdue payments exceeding 60 days.

4. Lead Quality Standards

We define a "qualified lead" as an individual who:

Has shown genuine interest in your products or services
Meets your specified demographic and geographic criteria
Has provided accurate contact information
Has engaged with your marketing content or responded to outreach

If a lead does not meet these criteria, you will not be charged for that lead.

5. Client Responsibilities

As a client, you agree to:

Provide accurate information about your business and target audience
Respond to leads in a timely and professional manner
Comply with all applicable laws and regulations in your marketing activities
Not use our services for illegal, harmful, or unethical purposes
Maintain the confidentiality of any proprietary information shared

6. Data Usage and Privacy

We collect and process data in accordance with our Privacy Policy. By using our services, you consent to:

Collection of data necessary to provide lead generation services
Use of cookies and tracking technologies for campaign optimization
Sharing of aggregated, non-personally identifiable data for service improvement

We do not sell personal data to third parties and maintain strict data security standards.

7. Intellectual Property

All content, algorithms, software, and methodologies used in our services remain the intellectual property of Verveine. Clients are granted a limited, non-exclusive license to use our services for their business purposes only.

8. Limitation of Liability

Verveine's liability is limited to the amount paid for services in the preceding 12 months. We are not liable for:

Indirect, incidental, or consequential damages
Loss of profits, revenue, or business opportunities
Actions taken by leads or third parties
Technical issues beyond our reasonable control

9. Service Availability

While we strive for 99.9% uptime, we cannot guarantee uninterrupted service availability. Scheduled maintenance will be communicated in advance when possible.

10. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination:

All outstanding invoices become immediately due
Access to our platform will be discontinued
Data retention will follow our standard policies

11. Modifications

We reserve the right to modify these terms at any time. Significant changes will be communicated via email at least 30 days in advance. Continued use of our services constitutes acceptance of modified terms.

12. Governing Law

These terms are governed by the laws of the State of Texas, United States. Any disputes will be resolved through binding arbitration in El Paso, Texas.
